Partner terms
These terms are between you and Luziq (“we”, “us”). They apply when you sell websites built and supported by xwhystudio, a Luziq brand, as an independent partner. Luziq is a brand of Ironleaf Group LLC.
1. What you are
You’re an independent seller. You’re not our employee, agent or franchisee, and you can’t sign anything or promise anything on our behalf. You pay nothing to become a partner. Sign-up is open; you’re approved once you confirm your email. We can pause or close a partner account (section 10).
2. What you sell
One website for one business, built and supported by xwhystudio. It includes exactly what xwhystudio.com lists: your own website, a contact form, better photos, an admin page, business email, email newsletters, a flyer to match the site, a logo if they need one (free), set up on Google, and a web address with the first year included. It’s typically live in about 3 business days after we have the customer’s details. That’s typical, not a promise you can make.
3. Your price, and how the money moves
- You set your own price, at or above the minimum shown in your partner portal (today: $350 for one website).
- Your customer pays through your own link only. You’re the seller on their card statement. Never take money for the website any other way.
- Stripe splits each payment the moment it’s made. Luziq’s share is $300 per website plus that sale’s Stripe costs: card processing (2.9% + 30¢), the payout to you (0.25% + 25¢), and $2 on your first sale in any month (Stripe’s monthly fee for an active partner account). The rest goes straight to your own Stripe account. Your portal shows the exact split for your price before you sell.
- You get paid through your own Stripe account, which you set up from your partner portal (Stripe checks your ID and your bank). Stripe pays your share out to your bank on the schedule shown in your Stripe dashboard.
- Your link works only once we’ve approved you, Stripe has switched on payments for your account, and you’ve set a price.
- We never pay you anything ourselves, and nothing is paid before the customer has paid.
4. Credits
- Credits are prepaid websites you buy from us: 4 credits for $1,000 or 8 credits for $1,600. There are no single credits. Bigger deals: ask us.
- One credit is one website for one business. While you have credits (and “use my credits first” is on), each sale through your link uses one, and Luziq takes no $300 share on that sale. The Stripe costs above still come out of that sale.
- A credit can’t be refunded once it’s used. Unused credits expire 12 months after you buy them.
- If a sale that used a credit is refunded in full before we start building, the credit goes back to your balance.
5. Refunds and disputes
Your customer gets the refunds promised in the xwhystudio terms: a full refund before we start building, and a full refund if the site is more than 5 business days late after we have their details. After delivery there’s no cash refund; we fix anything we built that isn’t right. Refunds are handled by xwhystudio, not by you.
When a customer is refunded, your share of that sale is taken back from your Stripe account and Luziq’s share is returned too, in the same proportion. If a customer disputes the charge with their bank, we may take your share back while the dispute is open, and return it if the dispute is won. If your Stripe balance can’t cover a refund, Stripe may take it from your bank account.
6. The customer is ours after the sale
Once your customer pays, xwhystudio looks after them: the build, support, changes, monthly plans and anything else they buy later. You earn only on sales made through your own link. You don’t earn on plans, renewals or anything a customer buys later.
7. The rules
- Tell the truth. Never say anything about the website, the timing or the support that isn’t true, and never promise anything that isn’t in the list above.
- Never talk about our cost. Don’t state or guess what any of this costs us.
- No income claims. Don’t post or say what you make, what you could make, or what other partners make, and don’t share earnings screenshots.
- No recruiting. You’re paid only for websites you sell yourself, never for bringing in other partners, and you may never charge anyone to become a partner.
- No spam. Follow the law on email, calls and texts: no messages to people who haven’t agreed to hear from you, no robocalls or automated texts.
- Our names. Use the name xwhystudio only as “authorized partner”, with the materials we give you. Don’t use the Luziq name with customers, and don’t make your own xwhystudio websites, pages or ads that look like ours.
Breaking a rule can get your link frozen straight away.
8. Taxes
You’re responsible for your own taxes. Nothing is withheld from your share. If you’re paid $2,000 or more in a calendar year, you may get a tax form (a 1099) for it by January 31 of the next year.
9. Payments through Stripe
Payment processing services for partners on Luziq are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms or continuing to operate as a partner on Luziq, you agree to be bound by the Stripe Services Agreement, as the same might be modified by Stripe from time to time. As a condition of Luziq enabling payment processing services through Stripe, you agree to provide Luziq accurate and complete information about you and your business, and you authorize Luziq to share it and transaction information related to your use of the payment processing services provided by Stripe.
10. Pausing or ending
You can stop selling any time. We can freeze or close your partner account for breaking these terms, or end the program with 30 days’ notice by email. Sales already paid stay yours, except for refunds and disputes as above. Unused credits from a closed account for a reason other than breaking these terms are refunded.
11. If something’s wrong
Tell us first at hello@luziq.ai and we’ll try to put it right. Neither of us is liable to the other for lost profits or indirect losses. These terms are governed by the laws of the State of Georgia.
12. Changes
We’ll email you before any change takes effect. If you keep selling after that, the new terms apply.
